Terms of Service

In these Terms, the following definitions apply unless the context requires otherwise:

Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to legislation include amendments and re-enactments.

By clicking “Create Account,” “Sign In,” or otherwise accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to refuse service to anyone for any lawful reason.

These Terms constitute the entire agreement between you and Real AI with respect to the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, except where an Enterprise Licence Agreement applies, in which case the Enterprise Licence Agreement shall prevail in the event of conflict.

To access the Platform, you must register using a valid corporate email address. The Platform is designed for enterprise use; registration using personal or free email services (such as gmail.com, outlook.com, yahoo.com, and similar providers) is not permitted.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at security@hulde.ai if you suspect any unauthorised access to your account.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

Where you sign in through a third-party identity provider (Google Workspace or Microsoft Entra ID), you authorise us to access the profile information provided by that service in accordance with our Privacy Policy.

Subject to your compliance with these Terms and payment of applicable fees, Real AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for your internal business and professional development purposes during the term of your Subscription.

This licence does not convey any ownership interest in the Platform or its content. All rights not expressly granted are reserved by Real AI.

Free tier Users receive access to a limited subset of Platform features and Module content as described on our Pricing page. Access beyond the free tier requires an active paid Subscription.

Paid Subscriptions are available in Pro and Premium tiers, each with distinct feature sets and pricing as published on our Pricing page. All prices are quoted in Euros (EUR) and are exclusive of VAT unless stated otherwise.

Subscriptions are billed in advance on a monthly or annual basis, as selected at checkout. Annual Subscriptions are non-refundable except as required by applicable consumer protection law or as expressly stated in an Enterprise Licence Agreement.

Payment is processed by Stripe, our PCI DSS Level 1 compliant payment processor. We do not store your full payment card details on our servers. By providing payment information, you authorise us to charge the applicable fees to your chosen payment method.

We reserve the right to modify pricing with 30 days’ prior written notice. Price changes will take effect at the start of the next billing cycle following the notice period. Continued use of the Platform after the effective date constitutes acceptance of the revised pricing. If you do not agree with a price change, you may cancel your Subscription before the new pricing takes effect.

If payment fails, we will attempt to charge the payment method on file up to three times over a 14-day grace period. If payment remains unsuccessful, your Subscription will be downgraded to the Free tier. You remain liable for any unpaid fees.

Enterprise Customers may enter into a separate Enterprise Licence Agreement that governs volume licensing, custom SLAs, dedicated support, Single Sign-On (SSO) configuration, and custom data retention policies.

Where an Enterprise Licence Agreement is in effect, its terms shall prevail over these Terms to the extent of any inconsistency. Enterprise Customers are responsible for managing access for their Authorised Users and ensuring compliance with these Terms within their organisation.

Enterprise Customers may designate administrators who can provision and de-provision Authorised User accounts, configure organisational settings, and access aggregated usage analytics for their organisation.

You retain all ownership rights in User Content that you submit to the Platform. By submitting User Content, you grant Real AI a limited, non-exclusive, worldwide licence to store, process, and display your User Content solely for the purpose of operating and providing the Platform to you.

We will not access, use, or share your User Content for any purpose other than providing the Platform, unless we have your explicit consent or are required to do so by law. We do not use User Content to train machine learning models or for any form of data mining without your separate, written consent.

You are solely responsible for the accuracy, quality, and legality of User Content you submit. You represent and warrant that your User Content does not infringe any third-party rights.

Upon termination of your Subscription, you may request an export of your User Content in a machine-readable format (JSON or CSV) within 30 days. After this period, User Content will be deleted in accordance with our data retention policy as described in our Privacy Policy.

The Platform, including all software, algorithms, interfaces, text, graphics, logos, module content, assessment frameworks, workshop materials, and documentation, is the exclusive property of Real AI or its licensors and is protected by Dutch and international copyright, trademark, patent, and trade secret laws.

The hulde name, logo, and all related marks are trademarks of Real AI B.V. You may not use our trademarks without our prior written consent. Nothing in these Terms grants you any right, title, or interest in our trademarks.

Assessment frameworks, scoring methodologies, KPI structures, workshop curricula, and educational content available on the Platform constitute proprietary trade secrets and confidential information of Real AI. Reproduction, distribution, or derivative works based on such content are prohibited without prior written authorisation.

You agree not to, and will not permit any third party to:

Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Platform. Use the Platform to develop a competing product or service. Circumvent, disable, or interfere with security features of the Platform, including authentication mechanisms, subscription tier restrictions, and access controls. Share login credentials with unauthorised individuals or allow multiple individuals to use a single account simultaneously. Use automated scripts, bots, or scrapers to access the Platform or extract content. Upload or transmit viruses, malware, or other harmful code. Use the Platform for any purpose that is illegal, fraudulent, or harmful, or in any manner that could damage, disable, or impair the Platform. Remove, alter, or obscure any proprietary notices, labels, or marks on the Platform. Sublicense, sell, lease, or otherwise distribute access to the Platform to third parties outside your organisation. Use Platform content in any commercial training, consulting, or advisory service offered to third parties without a separate commercial licence from Real AI.

Violation of these restrictions may result in immediate suspension or termination of your account, without prejudice to any other remedies available to Real AI at law or in equity.

We use commercially reasonable efforts to maintain Platform availability of 99.9% uptime measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance where practicable.

We do not guarantee uninterrupted, error-free, or secure access to the Platform. We shall not be liable for any temporary unavailability due to maintenance, upgrades, infrastructure provider outages, or circumstances beyond our reasonable control.

Support is provided via email at support@hulde.ai. Pro and Premium Subscribers receive priority response times. Enterprise Customers receive support according to the SLA specified in their Enterprise Licence Agreement.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REAL AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Real AI does not warrant that the Platform will meet your specific requirements, that the Platform will be uninterrupted, timely, secure, or error-free, that results obtained from the use of the Platform will be accurate or reliable, or that any errors in the Platform will be corrected.

The Platform provides educational and assessment tools for enterprise training purposes. Content on the Platform does not constitute professional advice (financial, legal, regulatory, or otherwise). Assessment scores and outputs are indicative and should be validated by qualified professionals before informing business decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REAL AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF REAL AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO REAL AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED EUROS (EUR 100).

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited under Dutch law or EU law.

You agree to indemnify, defend, and hold harmless Real AI and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: your use of or access to the Platform; your violation of these Terms; your violation of any applicable law or regulation; your User Content; or your infringement of any third-party right, including any intellectual property right or privacy right.

This indemnification obligation shall survive the termination or expiration of these Terms. Real AI reserves the right to assume exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence of such claim.

These Terms are effective from the date you first access the Platform and continue until terminated. You may terminate your account at any time by contacting us at support@hulde.ai or through the account settings in the Platform.

We may suspend or terminate your access immediately, without prior notice or liability, if you breach any provision of these Terms, if your organisation’s Enterprise Licence is terminated, if we are required to do so by law, or if we discontinue the Platform.

Upon termination: your licence to access the Platform is immediately revoked; you must cease all use of the Platform; you may request an export of your User Content within 30 days of termination; after the 30-day export period, your User Content will be deleted in accordance with our Privacy Policy; any outstanding payment obligations survive termination.

Sections that by their nature should survive termination will survive, including without limitation Intellectual Property, Limitation of Liability, Indemnification, Confidentiality, and Governing Law.

We process personal data in accordance with the EU General Data Protection Regulation (GDPR), the Dutch GDPR Implementation Act (Uitvoeringswet AVG), and our Privacy Policy.

Where Real AI processes personal data on behalf of an Enterprise Customer, Real AI acts as a Data Processor under Article 28 GDPR. In such cases, a Data Processing Agreement (DPA) will be executed as part of the Enterprise Licence Agreement, specifying the nature, purpose, and duration of processing, the types of personal data, and the categories of data subjects.

Where you access the Platform as an individual User (not through an Enterprise licence), Real AI acts as the Data Controller. In both cases, we implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, as described in our Privacy Policy.

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Platform (“Confidential Information”). Confidential Information includes, without limitation, assessment methodologies, scoring algorithms, business plans, customer lists, pricing, User Content, and technical specifications.

The receiving party shall not disclose Confidential Information to any third party except to its employees, agents, or contractors who need to know such information and are bound by confidentiality obligations no less restrictive than those contained herein. This obligation does not apply to information that: is or becomes publicly available through no fault of the receiving party; was lawfully in the receiving party’s possession prior to disclosure; is independently developed without reference to the Confidential Information; or is required to be disclosed by law, provided reasonable prior notice is given.

This confidentiality obligation survives termination of these Terms for a period of three (3) years.

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days’ prior notice via email to the address associated with your account and through a prominent notice on the Platform.

Non-material changes (such as corrections of typographical errors or clarifications that do not alter the substance of the Terms) may take effect immediately upon posting. The “Last updated” date at the top of these Terms indicates the most recent revision.

Your continued use of the Platform after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree with any modification, you must stop using the Platform and terminate your account before the changes take effect.

Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war or terrorism, government actions or sanctions, power or telecommunications failures, internet service provider failures, or cyberattacks of a severity beyond industry-standard protections.

The affected party shall promptly notify the other party and use reasonable efforts to mitigate the effects of the force majeure event. If a force majeure event continues for more than 90 days, either party may terminate these Terms upon written notice.

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith mediation. If mediation fails within 60 days, either party may submit the dispute to the exclusive jurisdiction of the competent courts in the District of Assen, the Netherlands.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

For EU consumer Users: nothing in this section affects your rights under mandatory consumer protection legislation in your country of residence, including the right to bring proceedings in local courts.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.

Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Real AI. Real AI may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee agrees to be bound by these Terms.

Notices. All notices under these Terms shall be in writing and delivered via email. Notices to Real AI shall be sent to legal@hulde.ai. Notices to you shall be sent to the email address associated with your account.

No Third-Party Beneficiaries. These Terms do not confer any rights or remedies upon any person or entity other than the parties hereto, except that the indemnification provisions shall inure to the benefit of Real AI’s officers, directors, employees, and agents.

Language. These Terms are drafted in English. In the event of any translation being prepared for convenience, the English version shall prevail in the event of any discrepancy.
